Intermountain Spa Month to Month Service Agreement

PARTIES

• This Service Contract Agreement (hereinafter referred to as the “Agreement”) is entered into on the date of signing(the “Effective Date”), by and between Intermountain Spa LLC., with an address of 126 east 19th street, Idaho Falls, Idaho, (hereinafter referred to as the “Service Provider”) and the signer with a hot tub located at the address imputed below (hereinafter referred to as the “Client”) (collectively referred to as the “Parties”).

LIST OF SERVICES PROVIDED AND THEIR PRICES

• During the period of this Agreement, the Service Provider shall have the responsibility to perform and provide the following services (hereinafter referred to as “Services”):

1. Weekly Servicing/Maintenance Package, at a price of 79$ per visit per hot tub, (example:4 week months=316 per month)

Services will not be rendered any less than once a month to be considered a regular client but may be adjusted for more than once a month.

 Regular services: Balance water chemicals, clean filter, wipe spa cover, wipe away scum line, check water temperature, shovel snow off cover, weekly service record completed. 

 Heavy Service when needed: drain and clean interior,

Need for heavy services is based on quality of the water and whether a regular service can return the quality of the water to or close to the water quality of the source water.

All appropriate and reasonable chemical applications are included in the agreed service price. We retain the right to apply chemicals as dictated by the spa and water conditions. Other chemicals such as spa shock which are used by the spa owner or guests are to be purchased separately. Spa filters are not included in the service package price, and will be billed separately at time of purchase. The client will be notified before a filter is purchased. 

Any hot tubs added will be subject to this agreement and the length of this agreement.

INVOICES

• The Parties agree that the invoiced amounts must be paid within 30 days after the Client receives the invoice. 

• Invoices will be billed monthly until decided otherwise by both parties. 

TERM OF AGREEMENT

• This Agreement shall be effective on the date of signing this Agreement (hereinafter referred to as the “Effective Date”).

• At the end of the term of the Agreement, it will be automatically renewed for a new term.

TERMINATION

• This Agreement may be terminated in the event that any of the following occurs:

1. Immediately in the event that one of the Parties breaches this Agreement.

2. With notice from either party to terminate at the end of the month notice was given.

• This Agreement will automatically end upon the completion of the provision of the Services and payment.

• In the event of termination, any remaining balances will be paid.

RELATIONSHIP OF THE PARTIES

• The Parties agree that this is a non-exclusive agreement and that the Parties are regarded as independent contractors. 

AMENDMENTS

• The Parties agree that any amendments made to this Agreement must be in writing, where they must be signed by both Parties to this Agreement. 

• Accordingly, any amendments made by the Parties will be applied to this Agreement.

ASSIGNMENT

• The Parties are not entitled to assign the responsibilities that they have under this Agreement to anyone else, unless both Parties agree to the assignment and provide such agreement in writing.

 LIABILITY

• The Service provider is not liable for any frozen hoses, faucets or any damage to structures or property on any properties home to hot tubs serviced by the service provider. 

• The Service Provider is not liable for any damages to adjacent properties home to hot tubs.

• The service provider is not liable for any damage to hot tub(s) or any damage/injury to those using the hot tub(s).

ENTIRE AGREEMENT

• This Agreement contains the entire agreement and understanding among the Parties to it with respect to its subject matter, and supersedes all prior agreements, understandings, inducements and conditions, express or implied, oral or written, of any nature whatsoever with respect to its subject matter. The express terms of the Agreement control and supersede any course of performance and/or usage of the trade inconsistent with any of its terms.

SEVERABILITY

• In the event that any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, then the remaining provisions will remain in force in accordance with the Parties’ intention.

GOVERNING LAW

• This Agreement shall be governed by and construed in accordance with the laws of the State of Idaho.

• The Parties hereby agree to the terms and conditions set forth in this Agreement and such is demonstrated by filling out the form below:
